Luxury Expenditures Policy
It is the policy of Bank Forward (“the Company”) that directors and team members of Bank Forward, and any of its subsidiaries, use corporate assets in a prudent manner. Reasonable expenditures are defined as appropriate and effective use of resources to achieve the Company’s business objectives to promote the long term success of the Company for the benefit of its stockholders.

Bank Forward prohibits excessive or luxury expenditures on entertainment and events, office and facility renovations, aviation and other transportation services, or other similar items, activities or events. All expenditures must be reasonable, appropriate, and compliant with Bank Forward’s Code of Ethics, and are subject to the Company’s established policies and procedures including, but not limited to, formal policies regarding approval documentation, budget authorization, reporting requirements and audit standards. The list of activities below is not exhaustive and team members should continuously evaluate whether additional items, activities or events are susceptible to excessive spending.

Entertainment and Events: Bank Forward pays for appropriate entertainment and event expenses incurred on behalf of the company. These expenses must be reasonable and in accordance with customary, accepted and lawful business practices. Unless previously approved Bank Forward-sponsored recognition event, event tickets and other expenses for leisure activities may be used only for customer or non-profit entertainment. Expenses for sponsorships, non-profit events or client events should serve a fundamental business purpose, whether it is business development or supporting our local communities, and must be approved in accordance with established policies and procedures.

Office and Facility Renovations: Bank Forward’s CFO establishes and communicates common standards on space, renovations and decision processes for office and facility renovations. The CFO will refer any renovation that significantly exceeds these standards to the Board of Directors. Renovations of facilities and office spaces generally must be pre-approved in accordance with the company’s process for capital expenditures.

Air Travel and Other Transportation Services: Bank Forward pays for reasonable and appropriate travel expenses incurred on behalf of the company. Use of air-travel and other transportation services should be prudent and responsible, and must comply with the company-wide standards for domestic and internal business travel, ground transportation, lodging, meals and entertainment. Ensuring compliance with Bank Forward’s travel standards is the responsibility of team members and their managers.

Other Similar Items, Activities or Events: Bank Forward pays for reasonable and appropriate activities or events for staff development, conferences, recognition programs, and performance incentives conducted in the normal course of business. Similar to their expenditures incurred on behalf of the company, reimbursement of expenses incurred for such items, activities or events must be in accordance with established company policies and the Bank Forward Code of Ethics, and be part of customary, accepted and lawful business practices.

Requests for Approval: If an expenditure requires pre-approval, the team member or Board member, as applicable, must submit the request and any related documentation as required by the established Capital Expenditures Policy. For each request for approval submitted, the appropriate reviewer must indicate his or her approval or disapproval of the request and must retain a record of the decision (whether recorded in writing or electronically) in a local file for seven years. Ordinary business expenses incurred by the Board of Directors are reviewed and approved by the President and are audited each year through the Company’s internal audit process. The results of the audit are reported to Audit Committee of the Board of Directors of Bank Forward.

Certification: In accordance with the requirements of Section 111(b)(4) of the Emergency Economic Stabilization Act, as amended (“EESA”), and implementing regulations, Bank Forward will file this policy with the Treasury Department and post the text of this policy on its Internet website by September 14, 2009. Additionally, within ninety (90) days of the completion of each fiscal year any part of which is subject to EESA and implementing regulations, Bank Forward’s CEO and Chief Financial Officer (CFO) must certify compliance with this policy and that the approval of any expenditure requiring the prior approval of any executive officer of Bank Forward, Bank Forward’s Board of Director’s, a Board committee or a Board committee chair was properly obtained with respect to each such expenditure.

Accountability and Adherence: Any expenditure in the above categories that is reasonably high under the circumstances shall be considered excessive. Any team member who engages in excessive spending shall be subject to corrective action up to and including termination of employment. It is the responsibility of all team members to raise concerns promptly about behavior that may violate the Bank Forward Code of Ethics, company policy or applicable laws, rules, regulations. Bank Forward has established an ethics concern process for team members to call or access an online form to report such violations. No retaliation may be taken against a team member for providing information in good faith about possible violations by others of this policy or the Bank Forward Code of Ethics. It also is the responsibility of members of the Board of Directors of Bank Forward to raise concerns or report actions that may violate this policy by contacting the Chair of the Audit Committee of the Board of Directors.

Adherence to this policy will be audited from time to time by Bank Forward’s internal auditor as part of regularly scheduled audits. The internal auditor reports the results of administrative compliance reviews to the Audit Committee of the Board of Directors of Bank Forward.
